Corporate Governance includes the set of rules and organizational structures that oversee the a correct and efficient administration (&#8220;governance&#8221;) of a company (&#8220;corporate&#8221;). Proper Governance helps improving the management of business risks and potential conflicts between directors of a company and shareholders and between the holders of majority and minority interests.
Firenze Fiera has therefore defined a system of rules of conduct regarding both its organizational structure and relations with third parties.

<a href="https://admin.firenzefiera.it/wp-content/uploads/2015/08/Modello-231_Parte-Generale-1.1-2019.pdf">Firenze Fiera has adopted an Organization, Management and Control Model pursuant to Legislative Decree no. 231/01</a>.
This Model aims at representing the system of operating and behavioural rules governing the company&#8217;s activities, as well as the additional control elements that the company has adopted in order to prevent the commission of the various types of crimes described in the Legislative Decree.
The Model integrates the organisational and control tools already in place, such as the organisation chart, the system of proxies and powers of attorney, the service orders.
Finally, the Model&#8217;s functioning is integrated and perfected by the <a href="https://admin.firenzefiera.it/wp-content/uploads/2016/12/Modello-231_Codice-Etico.pdf">Code of Ethics</a>.
The adoption of the Model entailed the appointment of a specific Supervisory Body in charge of:
<ul>
<li>verifying the effectiveness of the Model, ensuring the consistency between the actual conduct and the defined model;</li>
<li>verifying the adequacy of the Model and its real ability to prevent, in line of principle, unwanted behaviour;</li>
<li>analyse the maintenance over time of the solidity and functionality requirements of the model, taking care of its updating and the necessary adaptation to the legislation.</li>
</ul>
In order to facilitate the supervisory activity of said Body and the flow of communication to the Body itself by all subjects who could come into possession of relevant information indicated in the Model, or information relating to the commission of crimes or &#8220;practices&#8221; not in line with the Model itself and/or with the Code of Ethics Firenze Fiera has created a communication channel, namely an e-mail address, dedicated to the Supervisory Body: odv@firenzefiera.it
This e-mail address guarantees the possibility of communicating with the Supervisory Body in a completely anonymous way, it is available to the company and to each of its employees who can use it without fear of any reprisal action taken against them.

or this reason our company management is focussed on improving our relationship with the employees and all the stakeholders of the Company, preventing pollution, increasing workplace safety and preventing injuries and occupational diseases and also on optimising our own resources to improve business efficiency.
The <a href="https://admin.firenzefiera.it/wp-content/uploads/2015/08/All.1-Politica-Aziendale_Rev.1.pdf">Integrated Management System</a> aims at continuously improving itself while maintaining compliance with the reference standards for certification as well as pursuing the following objectives:

<li>Compliance with environment, workplace health and safety laws and regulations and to other requirements or standards Firenze Fiera may choose to adhere to;</li>
<li>
Pollution prevention in all activities carried out by or on behalf of Firenze Fiera;
</li>
<li>Risk prevention in all activities carried out by or on behalf of Firenze Fiera;</li>
<li class="p1">Optimisation of the use of resources in general and human resources in particular, professional growth paths and improvement of the &#8220;workplace microclimate&#8221;; Growth of our image on the market;</li>
<li class="p1">Growth of company profitability;</li>
<li class="p1">Care for the training (basic, specialised, continuous) of company staff;</li>
<li class="p1">Management and analysis of environmental and workplace health and safety non-compliances and of improvement actions and periodic internal audits;</li>
<li class="p1">A policy aimed at optimising non-renewable resources, increasing and furthering use of recycled materials so as to allow materials recovery and containment of environmental pollution;</li>
<li class="p1">Continuous search for technological solutions that are operationally more effective and more efficient from an environmental point of view;</li>
<li class="p1">Continuous analysis and optimisation of energy performance aimed at reducing environmental impact and company costs;</li>
<li class="p1">Consolidated relationship with qualified and monitored suppliers in the pursuit of mutual profit and benefit.</li>
</ul>
The Management will re-check the validity of this Policy every year during the Management Review and will make it available and accessible to all staff and individuals who work on our behalf.
